End-User License Agreement

This End-User License Agreement (“Agreement”) is between McCoy & Lykins (“we”, “us”) and you, the person using Westport (https://westport.mccoyandlykins.com). By signing in to or using Westport you agree to this Agreement. If you do not agree, do not use it.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Westport for McCoy & Lykins’s internal business purposes, for as long as we authorize your access. Westport is licensed, not sold. We and our licensors keep all rights not expressly granted.

2. Who may use Westport

Westport is available only to people we have approved. You must sign in with the Google account we approved, keep your account secure, and tell us promptly if you suspect unauthorized access. You are responsible for activity under your account.

3. Restrictions

You may not:

  • copy, modify, resell, sublicense, or provide Westport to anyone who is not an approved user;
  • reverse engineer, decompile or attempt to extract the source code, except where the law allows it despite this restriction;
  • probe, scan or test the security of Westport, or bypass access controls;
  • upload malicious code or use Westport to violate any law or anyone’s rights; or
  • use Westport, or any data it holds, to build a competing product.

4. Your data

You and McCoy & Lykins keep ownership of the content and data you put into Westport. You give us permission to host, process and display it solely to operate Westport for you, as described in our Privacy Policy. You are responsible for having the right to add the content you add.

5. Third-party services

Westport works with third-party services, including Google (sign-in and Gmail), Supabase (hosting) and AI model providers through OpenRouter. Your use of those services is subject to their own terms. Westport accesses Gmail only after an authorized user connects a Google account, and you can disconnect at any time. We are not responsible for third-party services or for changes to or outages of them.

6. AI features

The AI assistant and document tools can produce answers or changes that are wrong, incomplete or out of date. You must review AI output before relying on it. Nothing in Westport is accounting, tax, legal or investment advice. Deleting records and changing financial account records through the assistant require your confirmation, and other changes it makes are logged and can usually be undone from the change log.

7. Availability and changes

We may change, suspend or discontinue any part of Westport, and we do not promise that it will be uninterrupted or error-free. We may update this Agreement; continued use after an update means you accept it.

8. Termination

We may suspend or end your access at any time, including if you breach this Agreement. You may stop using Westport at any time. Sections that by their nature should survive termination, including data ownership, disclaimers, limitation of liability and governing law, will survive.

9. Disclaimer of warranties

WESTPORT IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MCCOY & LYKINS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM OR RELATED TO YOUR USE OF WESTPORT. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

11. Governing law

This Agreement is governed by the laws of the State of Kansas, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Kansas, and you consent to their jurisdiction.

12. General

This Agreement and the Privacy Policy are the entire agreement between us about Westport. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our consent.
